Single proprietorships

An OHG, on the other hand, aims at the joint operation of a trade by two or more persons. Here too, all partners are personally liable.

Kommanditgesellschaft (KG)
In a KG there are two types of partners: the limited partners, who only provide the company with capital, but are only liable for the amount of their contribution, and the general partners, who manage the company and are personally liable for it.

GmbH & Co. KG
A legal form that exists in this way only in Germany. Here the personally liable part is a limited liability company (GmbH). This construction minimizes liability risks for the person behind the company. However, the choice of this legal form must also take account of numerous legal provisions.

Gesellschaft bürgerlichen Rechts (GbR)
A GbR consists of at least two partners who jointly pursue a specific purpose. Since the legal regulations are also straightforward, this legal form is particularly suitable for smaller companies or individual projects.
